1. Promoter; Administrator; Prize Provider

1.1 Promoter/Administrator. Nothing Major LLC (“Promoter” or “Administrator”) [8 The Green # 16674 Dover DE 19901 United States] is the promoter and administrator of this promotion (the “Promotion”).

1.2 Prize Provider. MGM Resorts International and/or its applicable affiliates (“Prize Provider”) will provide certain prize components as described below. Prize Provider is not the sponsor or administrator of the Promotion and is not responsible for the administration, operation, or fulfillment of the Promotion.

1.3 Acceptance of Rules. By entering, you agree to be bound by these Official Rules and the decisions of Promoter, which are final and binding in all matters relating to the Promotion, subject to applicable law.

2. Eligibility

2.1 Overview. The Promotion is open only to legal residents of the fifty (50) United States and the District of Columbia who are 21 years of age or older at the time of entry and who are legally eligible to participate under applicable federal, state, and local laws.

2.2 Ineligible Parties. Employees, officers, directors, contractors, and agents of Promoter, Prize Provider, and each of their respective parent companies, affiliates, subsidiaries, advertising and promotion agencies, and any other entities involved in the Promotion (collectively, the “Promotion Entities”), and members of their immediate family (spouse, parent, child, sibling, and their respective spouses) and household members, are not eligible.

2.3 Void Where Prohibited. The Promotion is void where prohibited or restricted by law. Promoter may refuse entry, disqualify entrants, or withhold awarding a prize where participation is unlawful or would require registration, bonding, filing, translation, or other actions that Promoter does not elect to undertake.

3. Promotion Period

The Promotion begins Tuesday, February 10, 2026 at 1:00 p.m. Eastern Time (ET) and ends Sunday, February 15, 2026 at 11:59 p.m. ET (the “Promotion Period”).

4. How to Enter

4.1 Entry Method. During the Promotion Period, visit www.nothingmajorshow.com and complete the entry form in full, including your name, contact information, and any required information requested.

4.2 Free Entry. Entry is free. No purchase is required.

4.3 Limit. Limit one (1) Entry per person and per email address during the Promotion Period. Multiple Entries, Entries submitted using multiple email addresses or identities, or Entries submitted through any automated, scripted, robotic, macro, or similar method are void and may result in disqualification, as determined by Promoter in its sole discretion.

4.4 Entry Content Requirements. Any Entry Content must be original to the entrant (except for any third-party materials used with permission), must not violate any law or the rights of any third party, and must not contain unlawful, defamatory, obscene, or otherwise inappropriate material, as determined by Promoter in its sole discretion. Entry Content is collected for promotional and entertainment purposes only and will not be evaluated or judged in determining the winner.

4.5 Entry License. By submitting an Entry or Entry Content, entrant grants Promoter a non-exclusive, worldwide, royalty-free license to use, reproduce, display, edit, and publish the Entry Content (in whole or in part) for the purpose of administering, promoting, and announcing results of the Promotion, including on the Nothing Major podcast and associated channels, for a period of twelve (12) months following the end of the Promotion Period, unless prohibited by law.

5. Winner Determination; Giveaway Wheel Presentation

5.1 Random Selection. Following the close of the Promotion Period, Promoter will conduct a random drawing from among all eligible Entries received to select one (1) potential Grand Prize winner and four (4) alternate potential winners (the “Alternates”).

5.2 Entertainment-Only Wheel. Promoter may present the random drawing results through a themed “Giveaway Wheel” or similar visual device for entertainment or broadcast purposes. The Wheel is for presentation only and does not alter the random nature of the drawing or affect any entrant’s odds of winning. Any visual or broadcast presentation of the drawing is illustrative only and the official results will be determined solely by Promoter’s recorded random selection process.

5.3 No Judging; No Increased Odds. Any written explanation submitted with an Entry may be read, displayed, or discussed for promotional or entertainment purposes only. No Entry will receive additional chances or increased odds of winning based on content, creativity, or any subjective criteria.

5.4 Odds. Odds of winning depend solely on the total number of eligible Entries received during the Promotion Period.

5.5 Alternates. If a potential winner is disqualified, ineligible, or fails to claim the prize, Promoter may award the prize to the next Alternate selected in the random drawing, subject to availability and applicable law.

6. Prize

6.1 Prize Description. One (1) winner will receive a “Vegas Experience for Two (2)” consisting of:

(a) hotel accommodations: a two (2) night hotel stay at Park MGM Las Vegas for winner and one (1) guest in one (1) Park MGM King or Two Queen room (double occupancy), checking in Saturday, February 28, 2026 and checking out Monday, March 2, 2026;

(b) two (2) tickets to The MGM Slam 2026 on March 1, 2026 (seat locations determined by Prize Provider); and

(c) one (1) fixed cash contribution of USD $1,000 intended to be applied toward flight costs for the winner and winner’s guest (the “Flight Stipend”).

6.2 Provided By. Hotel accommodations and event tickets are provided by Prize Provider. The Flight Stipend is provided and administered by Promoter.

6.3 Expenses Not Included. All costs not expressly stated as included are the winner’s sole responsibility, including without limitation additional travel costs, meals, beverages, ground transportation, tips, insurance, baggage fees, passport/visa costs, incidental charges, upgrades, resort fees (if any), and personal spending.

6.4 No Transfer; No Substitution. Prize is non-transferable and non-exchangeable. No cash alternative will be offered, except Promoter may substitute a prize (or prize component) of equal or greater value if any prize component becomes unavailable, to the extent permitted by law.

6.5 Approximate Retail Value (“ARV”). The ARV of the hotel accommodations and tickets is USD $1,246.26. The ARV of the Flight Stipend is USD $1,000. Total ARV: USD $2,246.26.

6.6 Hotel Check-In Requirements. Winner will be required to present a valid government-issued photo identification and valid credit card at the time of check-in to cover incidentals and fees/services not included in the prize at MGM Resorts in Las Vegas, NV. Representatives of Promoter and Prize Provider will assist with booking the hotel stay and experience.

7. Winner Notification; Verification; Claim Conditions

7.1 Notification. Potential winner will be contacted using the contact information provided at entry. Promoter may attempt notification by email, phone, and/or other reasonable methods. Promoter is not responsible for unsuccessful attempts due to incorrect or outdated contact information.

7.2 Response Deadline. Potential winner must respond within twenty-four (24) hours of first attempted notification (or such other time required by law) to claim the prize.

7.3 Verification. Potential winner must complete and return any required documentation within the timeframe provided by Promoter, which may include an eligibility declaration, liability release, and where lawful, a publicity release.

7.4 Forfeiture; Alternate. If a potential winner (a) does not respond by the deadline, (b) fails verification, (c) is ineligible, (d) declines the prize, or (e) cannot accept or use the prize as awarded, the prize may be forfeited and awarded to the next Alternate in order, subject to availability and applicable law.

8. Travel and Event Conditions

8.1 Scheduling. Travel dates are tied to the event schedule and hotel availability. Promoter and/or Prize Provider will provide instructions after winner verification.

8.2 Legal Compliance. Winner and guest are solely responsible for obtaining any required travel documents and complying with all applicable laws, venue policies, and health and safety requirements (including any ID requirements). Winner's guest must be 21 years of age or older.

8.3 No Liability for Travel Disruptions. Promotion Entities are not responsible for delays, cancellations, schedule changes, or other issues caused by airlines, venues, weather, acts of government, or other events outside their control.

9. Publicity

Subject to applicable law, by accepting a prize, winner grants Promoter the right to use winner’s first name, last initial, city, and state of residence, likeness, voice, and statements for advertising, promotional, and publicity purposes in any media now known or later developed, worldwide, without additional notice, permission, or compensation. Participation in any additional promotional appearances or content beyond winner identification is optional.

10. General Conditions; Disqualification & Cancellation of Promotion

10.1 Disqualification Promoter reserves the right to disqualify any entrant who violates these Official Rules, tampers with the entry process, submits false information, or otherwise engages in fraudulent or abusive conduct.

10.2 Contest Modifications Promoter reserves the right to modify, suspend, or cancel the Promotion if fraud, technical failures, legal restrictions, or any other factor beyond Promoter’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Promoter in its sole discretion, subject to applicable law.

10.3 Cancellation in Promoter’s Discretion. In addition to the rights set forth in Section 10.2, Promoter reserves the right to cancel the Promotion (or any portion thereof) at any time, with or without notice, for any reason or no reason, in Promoter’s sole discretion, subject to applicable law. In the event of cancellation, Promoter may elect not to award the prize, or where feasible and as permitted by law, select a winner from among all eligible Entries received prior to the effective time of cancellation using a method determined by Promoter.

10.4 Force Majeure. Promoter reserves the right to modify or substitute prize components or reschedule or cancel travel or event elements due to causes beyond Promoter’s reasonable control, including without limitation acts of God, weather, venue closures, event cancellation, labor disputes, or government orders.

11. Releases; Limitation of Liability

11.1 To the maximum extent permitted by law, entrants release and hold harmless the Promotion Entities from any and all claims, damages, losses, and liability arising from or relating to participation in the Promotion, acceptance or use of any prize, or any travel or activity related to the prize.

11.2 Promotion Entities are not responsible for: (a) lost, late, incomplete, invalid, garbled, or misdirected Entries; (b) technical failures of any kind; (c) unauthorized human intervention; (d) errors in administration; or (e) any injury or damage to persons or property.

12. Taxes

Winner is solely responsible for any and all federal, state, local, and international taxes, duties, and fees associated with receipt or use of the prize. Promoter may issue tax forms as required by law. For any prize with an actual retail value of six hundred dollars ($600) or greater, Promoter will furnish an Internal Revenue Service Form 1099 to winner for the actual retail value of the prize.

13. Privacy

Information collected from entrants is subject to Promoter’s privacy practices and will be used for administering the Promotion, contacting entrants, announcing winners (as permitted), and as otherwise described in these Official Rules. Promoter may share information with Prize Provider as necessary to fulfill prize components.

14. Governing Law; Disputes

These Official Rules are governed by the laws of the State of California, without regard to conflict-of-law principles, except where prohibited by applicable law. Any dispute arising out of or relating to the Promotion shall be brought in the state or federal courts located in California, and entrants consent to such jurisdiction and venue, except where prohibited by applicable law.

15. Severability

If any provision of these Official Rules is found unenforceable, the remaining provisions will remain in full force and effect.

16. Winner List

For the name of the winner, send a self-addressed stamped envelope to: Nothing Major LLC, [8 The Green # 16674 Dover DE 19901 United States], Attn: Nothing Major Fan Giveaway Winner List, to be received within sixty (60) days after the Promotion Period ends.
